INTRODUCTION

The website located at www.getpopememes.com (the “Website”) is the property of Pope Coin Foundation, a sociedad anónima incorporated and existing under the laws of the Republic of Panamá (hereinafter “Pope Coin Foundation,” “we,” “our,” or “us”). These Terms and Conditions, together with any documents expressly incorporated by reference (collectively, this “Agreement”), govern all access to and use of: (a) the Website; (b) any associated content, functionality, software, smart‑contracts, and services made available by or through the Website; and (c) the fungible cryptographic token branded as “Pope Coin,” ticker symbol “$POPE,” created on the Solana (or any successor or additional) blockchain (collectively, the “Pope Coin”).

POPE COIN, THE WEBSITE, THE SERVICES, AND POPE COIN FOUNDATION ARE NOT AFFILIATED WITH, SPONSORED BY, APPROVED BY, OR OTHERWISE ENDORSED BY HIS HOLINESS THE POPE, THE HOLY SEE, THE VATICAN CITY STATE, OR ANY ECCLESIASTICAL AUTHORITY. REFERENCES TO “POPE,” PAPAL IMAGERY, OR CATHOLIC SYMBOLISM ARE INTENDED AS SATIRICAL, HUMOROUS, OR ARTISTIC COMMENTARY ONLY.

By accessing or using the Website or Services, or by purchasing, selling, receiving, or otherwise interacting with Pope Coin, you agree to be bound by this Agreement in its entirety. If you do not agree, immediately cease all use of the Website and Services.

THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE, A CLASS‑ACTION WAIVER, DISCLAIMERS OF WARRANTIES, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR RIGHTS.

ELIGIBILITY AND REQUIREMENTS

2.1 Legal Capacity. The Services are offered only to individuals or entities able to form legally binding contracts and that are not Prohibited Users (defined below). The Services are not intended for, and may not be used by, persons under eighteen (18) years of age or the age of majority in their jurisdiction, whichever is higher.

2.2 Prohibited Users. The Services are not available to, and you agree not to access or use the Services if you are: (a) the subject of sanctions or restrictions administered or enforced by any governmental authority; (b) a resident, citizen, or entity formed in any jurisdiction that is embargoed, comprehensively sanctioned, or otherwise prohibited by the United Nations, the European Union, the United States, the United Kingdom, or Panamá; or (c) accessing the Services from any such jurisdiction (collectively, “Prohibited Users”).

2.3 Technological Requirements. You must maintain at your own cost and responsibility: (a) suitable Internet access, hardware, and software; (b) a compatible non‑custodial cryptographic wallet capable of interacting with Solana or any other supported blockchain (a “Wallet”); and (c) any digital assets required to pay network fees and to acquire or dispose of Pope Coin.

MODIFICATIONS We reserve the right to modify this Agreement or any aspect of the Services at any time. Updated versions will be posted on the Website with a revised “Last Updated” date. Your continued use constitutes acceptance of any modifications.
NATURE OF POPE COIN

4.1 Purely Expressive Token. Pope Coin is intended solely as a humorous and satirical community token referencing public religious imagery in pop‑culture context. It is not an investment vehicle, investment contract, or security of any kind. No governmental authority has reviewed, approved, or endorsed Pope Coin or the fairness of its purchase.

4.2 Volatility and No Expectations of Profit. Prices of cryptographic tokens are extremely volatile. You may lose some or all value paid. Pope Coin Foundation makes no promise or representation regarding current or future value or liquidity of Pope Coin.

4.3 No Advice. Nothing in the Services constitutes financial, legal, accounting, or tax advice. Consult your own advisers.

4.4 Taxation. You are solely responsible for reporting and paying any taxes arising from transactions involving Pope Coin.

4.5 ALL SALES FINAL. Transfers of Pope Coin are irreversible and non‑refundable.

CONTENT AND INTELLECTUAL PROPERTY

5.1 License Grant to You. Subject to this Agreement, Pope Coin Foundation grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services for personal, non‑commercial purposes.

5.2 Ownership. Except for the limited license above, Pope Coin Foundation and its licensors retain all right, title, and interest in and to the Website, Services, trademarks, logos, and associated intellectual property (“Pope IP”). You receive no ownership or commercial rights in Pope IP.

5.3 Derivatives and Commercial Use. You may not modify, replicate, or exploit Pope IP commercially without prior written consent.

COMPLIANCE WITH LAWS You represent and warrant that your access to and use of the Services complies with all laws, regulations, and rules applicable to you, including any emerging technology or digital‑asset regulation. You assume full responsibility for determining whether your use is legal in your jurisdiction.
PROHIBITED CONDUCT You agree not to: (a) violate any law; (b) infringe intellectual‑property or other rights; (c) use the Services for fraud, money‑laundering, or market manipulation; (d) upload malicious code; (e) attempt to interfere with network integrity; or (f) misrepresent affiliation with Pope Coin Foundation, the Pope, or the Vatican.
INDEMNIFICATION To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Pope Coin Foundation, its directors, officers, employees, contractors, affiliates, advisors, and service providers (collectively, the “Covered Parties”) from any claim, loss, liability, damage, expense, or demand, including reasonable attorneys’ fees, arising out of or relating to (a) your use or misuse of the Services; (b) your violation of this Agreement or any law; or (c) your infringement of any rights of any other person or entity.
DISCLAIMER OF WARRANTIES THE SERVICES AND POPE COIN ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, SECURITY, FUNCTIONALITY, OR ACCURACY. WE DO NOT WARRANT CONTINUOUS, UNINTERRUPTED, OR ERROR‑FREE ACCESS TO THE SERVICES OR THAT DEFECTS WILL BE CORRECTED.
LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANY COVERED PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR POPE COIN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AGGREGATE LIABILITY OF THE COVERED PARTIES SHALL NOT EXCEED FIVE HUNDRED UNITED STATES DOLLARS (US $500).
THIRD‑PARTY LINKS AND PLATFORMS The Services may contain links to third‑party websites, social‑media pages, or digital‑asset trading platforms that are not controlled by us. We assume no responsibility for their content, terms, policies, security, or performance. Any interaction with third‑party platforms is at your sole risk.
PRIVACY Our collection and use of personal information is subject to the Privacy Policy available on the Website, which is incorporated by reference.
DISPUTE RESOLUTION AND ARBITRATION

13.1 Governing Law. This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the Republic of Panamá, without regard to its conflict‑of‑law rules.

13.2 Arbitration. All disputes shall be submitted to binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) in Panamá City, República de Panamá, under its commercial arbitration rules then in force. The arbitration shall be conducted in English. The award shall be final and may be entered and enforced in any court of competent jurisdiction.

13.3 Class‑Action Waiver. Disputes must be brought on an individual basis only and not as a plaintiff or class member in any purported class, consolidated, or representative action.

13.4 Jury Trial Waiver. To the extent any dispute is adjudicated in court, the parties waive any right to a jury trial.

MISCELLANEOUS

14.1 Entire Agreement. This Agreement constitutes the entire agreement between you and Pope Coin Foundation regarding the Services and supersedes any prior agreements.

14.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.

14.3 No Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement.

14.4 Assignment. Pope Coin Foundation may assign its rights and obligations under this Agreement without notice. You may not assign without our prior written consent.

14.5 Force Majeure. We are not liable for delay or failure resulting from causes beyond our reasonable control.

14.6 Headings. Headings are for convenience only and do not affect interpretation.
